基于本協(xié)議授予的獨家代理權，甲方不得直接或間接地通過乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經銷、分銷或促銷與上述商品相競爭或類似的產品，也不得招攬或接受以到新加坡以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內，甲方應將其收到的來自新加坡其他商家的有關代理產品的詢價或訂單轉交給乙方。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Singapore through channels other than Party B;Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in Singapore and shall not solicit or accept orders for the purpose of selling them outside Singapore.Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in Singapore during the validity of this agreement.8.、商情報告 Market Report

為使甲方充分了解現(xiàn)行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協(xié)議代理商品的進口與銷售有關的地方規(guī)章的變動、當?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer’s comments on quality, packing, price, etc.of the goods supplied by Party A under this agreement.Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.9、廣告及費用 Advertising and Expenses

乙方負擔本協(xié)議有效期內在新加坡銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。

Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in Singapore within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.10、傭金 Commission

對乙方直接獲取并經甲方確認接受的訂單，甲方按凈發(fā)票售價向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會支付。

Party A shall pay Party B a commission of 5% on the net invoiced selling price on all orders directly obtained by Party B and accepted by party A.No commission shall be paid until Party A receives the full payment for each order.11.政府部門間的交易Transactions Between Governmental Bodies

在甲、乙雙方政府部門之間達成的交易不受本協(xié)議條款的限制，此類交易的金額也不應計入第五條規(guī)定的最低業(yè)務量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12.工業(yè)產權 Industrial Property Rights

在本協(xié)議有效期內，為銷售有關洗衣機，乙方可以使用甲方擁有的商標，并承認使用于或包含于洗衣機中的任何專利商標、版權或其他工業(yè)產權為甲方獨家擁有。一旦發(fā)現(xiàn)侵權，乙方應立即通知甲方并協(xié)助甲方采取措施保護甲方權益。

Party B may use the trade-marks owned by Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Washing Machines shall remain to be the sole properties of Party A.Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter’s rights.13.協(xié)議有效期 Validity of Agreement

本協(xié)議經有關雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。除非作出相反通知，本協(xié)議期滿后將延長12個月。

This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.14.協(xié)議的終止 Termination

在本協(xié)議有效期內，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權終止協(xié)議。

During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.15.不可抗力 Force Majeure

由于水災、火災、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內將有關機構出具的不可抗力事件的證明寄交對方。

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.16.仲裁 Arbitration

因履行本協(xié)議所發(fā)生的一切爭議應通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應將爭議提交中國國際經濟貿易仲裁委員會（北京），依據(jù)其仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。

第六條價格與支付

2、乙方每次訂貨量運輸費用有雙方友好協(xié)商確定。

第八條 商情報告

為使甲方充分了解現(xiàn)行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協(xié)議代理商品的進口與銷售有關的地方規(guī)章的變動、當?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。

第十條傭金

對乙方直接獲取并經甲方確認接受的訂單，甲方按凈發(fā)票售價向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內向乙方支付。

第十三條 協(xié)議有效期

第十四條 協(xié)議的終止

五、售后服務

1、乙方應至少有一專職人員負責甲方產品的售后服務，并有能力進

行簡單維修及判定客戶申訴/調換貨物是否合理；甲方承諾由售出之日起月包換，一年內免費保修，所有保修服務按照處理。

2、乙方在擔當甲方產品代理時，有銷售與甲方同一類型的產品需與

甲方協(xié)商。

3、乙方確定為甲方代理，乙方可以拓展自己的銷售范圍。并能嚴

格執(zhí)行甲方公司規(guī)定的價格體系，監(jiān)督其他代理商串貨及不執(zhí)行價格體系銷售的行為。

4、甲方在已確立獨家代理商區(qū)域內，不再確立第二家代理商。

5、在市場及產品材料價格變化而引致產品調價時，甲方第一時間通

知乙方并妥善處理價格體系。

6、甲方保證乙方的利益/權益，對代理商的違約行為：不按價格體系及總代理區(qū)域銷售等進行懲罰和制止。

7、甲乙雙方正常合作期間 返修費用，雙方各承擔一半。如果乙方月銷售額低于元，或由于乙方項目轉變造成雙方三個月未合作，合同自動失效，甲方將不再承擔維修及其他任何費用。

六、違約及終止

1、乙方違約，甲方將視情況，停止供貨，終止代理代理協(xié)議等措施，嚴重損害甲方企業(yè)利益及形象/破壞產權等行為，甲方將通過法律手段予與處理。并追究經濟損失。

2、雙方中任一方終止代理代理協(xié)議，需提前一個月告知對方，并取得對方同意。有關終止代理代理協(xié)議善后工作，雙方商議解決。

七、本代理協(xié)議一式兩份，雙方簽字后生效。

八、本協(xié)議解釋權在甲方。如有其他未盡事宜，雙方協(xié)商解決。若發(fā)生糾紛，以甲方所在地法律機關仲裁為準。
