12.保證： Guarantee:

13.延期付款的罰金：Default Interest:

14.維修：Maintenance:

(一)概述

國(guó)際租賃是指不同國(guó)家的出租人與承租人之間在約定的期間內(nèi)，出租人將其特別交給承租人有償使用的一種合同關(guān)系?，F(xiàn)代國(guó)際租賃業(yè)務(wù)主要有三種類型：即融資性租賃、綜合性租賃和服務(wù)性租賃。融資性租賃是出租人根據(jù)承租人的要求，自己出資或者向銀行貸款，從供貨廠商那里購(gòu)負(fù)承租人社頂?shù)脑O(shè)備，然后將購(gòu)入的設(shè)備出租給承租人使用，承租人按合同規(guī)定交付租金。融資租賃具有融資融物的雙重功能，主要在租專用設(shè)備或大型成套設(shè)備時(shí)采用，這種方式在國(guó)際租賃業(yè)務(wù)經(jīng)常被使用，這種租賃方式根據(jù)不同業(yè)務(wù)特點(diǎn)又可分為直接租賃、轉(zhuǎn)租賃、回租租賃等。綜合性租賃是一種把租賃與補(bǔ)償貿(mào)易、加工裝配等其他對(duì)經(jīng)濟(jì)合作方式結(jié)合起來(lái)的租賃業(yè)務(wù)。而服務(wù)性租賃亦稱經(jīng)營(yíng)性租賃，租賃公司既向承租企業(yè)提供資金、設(shè)備;又向承租企業(yè)提供設(shè)備維修、保養(yǎng)服務(wù)以至提供或培訓(xùn)有關(guān)技術(shù)人員。這種租賃形式由于租賃公司要提供多種服務(wù)，所以其租金也較高。

(三)租賃期

協(xié)議中應(yīng)明確規(guī)定租賃期限、租賃期的起算日、截止日、延續(xù)合同的條件等。租賃期的長(zhǎng)短主要是由雙方根據(jù)租賃物的情況和承租人的需要在簽訂協(xié)議時(shí)間商定。一般來(lái)說(shuō)，易損性和效力多變的機(jī)器設(shè)備租期短，而耐用，性能變化不大的設(shè)備租期長(zhǎng)。

(四)租金及支付方式

租金是租賃合同的主要呢容，也是雙方當(dāng)事人的主要權(quán)利，義務(wù)所在。租金條款應(yīng)明確租金的數(shù)額、計(jì)算方法、支付地點(diǎn)、使用貨幣、租金支付次數(shù)以及第一次租金支付的時(shí)間、方式等。

在國(guó)際租賃協(xié)議中，一般都要訂明在租期內(nèi)設(shè)備的所有權(quán)屬于出租人，不經(jīng)出租人同意，承租人不得將設(shè)備轉(zhuǎn)讓、抵押、出售或出租等，而承租人對(duì)租賃設(shè)備具有完全的使用權(quán)，如需對(duì)此種使用權(quán)加以限制，則由雙方協(xié)商訂明。至于租賃設(shè)備的維修、保養(yǎng)，應(yīng)由雙方根據(jù)租賃方式，租賃物的性質(zhì)經(jīng)協(xié)商后訂入?yún)f(xié)議。

(六)風(fēng)險(xiǎn)承擔(dān)

一般來(lái)說(shuō)，在租賃協(xié)議期間租賃物發(fā)生意外滅失損毀是不可避免的，因此協(xié)議中應(yīng)明確由誰(shuí)承擔(dān)此損失。一般情況下，租賃物正常損耗的損失風(fēng)險(xiǎn)由承租人承擔(dān)。發(fā)生意外損毀滅失時(shí)，承租人有湖族人的義務(wù)，出租人可選擇一定方式由承租人負(fù)責(zé)處理并負(fù)擔(dān)一切費(fèi)用。

有風(fēng)險(xiǎn)就必然要求有保險(xiǎn)，協(xié)議中應(yīng)約定由哪一放對(duì)和租賃設(shè)備進(jìn)行投保及此費(fèi)用由誰(shuí)承擔(dān)。

(七)租賃期滿租賃物的處理

這一條款隨租賃方式不同而不同，如是服務(wù)性租賃，協(xié)議中多是規(guī)定租賃期滿后承租人應(yīng)將處于良好狀態(tài)下的租賃物歸還給出租人。如是融資性租賃，雙方則可選擇處理方式，其中有：將租賃物歸還出租人(即退租)，續(xù)租、由承租人購(gòu)買租賃物(即留購(gòu))，火由承租人代為出售等，在我國(guó)現(xiàn)行的融籽租賃中，大多數(shù)出租人是在期滿時(shí)交清應(yīng)交租金及其他應(yīng)付款項(xiàng)后，只付名義貨價(jià)即取得設(shè)備所有權(quán)。

七、乙方責(zé)任：
