        根據(jù)《中華人民共和國合同法》及相關法律法規(guī)規(guī)定,甲乙雙方本著平等、自愿、互利的原則,就甲方享有所有權或合法使用權的房屋租賃給乙方等有關事宜,經協(xié)商一致,簽訂本合同,以茲共同遵守。

        第一章租賃房屋基本情況

        第一條甲方將座落于出租給乙方做使用。建筑面積共計平方米,使用面積平方米。上述指標,最終以政府相關部門對本項目工程竣工驗收后的備案數(shù)據(jù)為準;如相關指標變化,不影響本合同各項條款的履行。

        第二條甲方免費提供位臵用于乙方樹立門楣、廣告標識等,若物業(yè)或第三方對此有異議,由甲方負責協(xié)調處理,如果產生費用,由甲方承擔。甲方提供空調外機掛放位臵為。同時甲方積極配合乙方完成空調及標識安裝過程中的溝通工作。

        第三條甲方需在簽約時向乙方提供與原件核對一致的土地證、房屋產權證(尚未辦理產權證的應提供五證:《國有土地使用證》、《建設用地規(guī)劃許可證》、《建設工程規(guī)劃許可證》、《建設工程施工許可證》、《商品房預售許可證》或房屋竣工驗收資料)、消防驗收合格意見書和房屋平面圖等復印件。

        第四條甲方對該房屋的消防等公用部分的設施設備予以安裝到位,并保證設備、設施及安裝符合國家標準,可安全使用。

        第五條甲方向乙方提供

        第二章租賃期限及租金

        第六條乙方租用出租房屋的租賃合同期限時間為:年月,到期時間為:月日,乙方的租金起付日為月日。

        第三章雙方權利與義務

        第十三條甲方的權利和義務

        1.甲方應于 2013年1 月1 日前將出租房屋交付乙方使用,并制作房屋交接清單。如系甲方原因導致遲于上述時間交付出租房屋,乙方有權順延房屋租賃期限并延期支付房租費。

        2.甲方應按本合同約定時間交付該房屋及附屬設施給乙方 使用,甲方提供出租房屋的水電容量須足夠保證乙方經營辦公需要, 房屋的水電表、進戶線、開戶等基本配臵由甲方完善,甲方保證水電路接口安裝配臵至租賃房屋。

        3.甲方保證出租房屋符合國家有關消防安全規(guī)定,如甲方出租房屋達不到消防安全規(guī)范要求的,乙方有權解除合同,甲方承擔因此產生的全部法律責任和后果。

        4.甲方保證任何第三方不得在房屋租賃期內向乙方主張房屋相關權利,如因第三方主張房產權利等原因而給乙方造成損失的,甲方負責賠償乙方全部損失,且乙方有權解除合同。

        5.甲方對乙方在房屋內合法守章的經營管理活動不得進行干涉妨礙,不管雙方發(fā)生何種糾紛,甲方均不得以任何理由和形式阻擾乙方的正常經營,否則視為甲方根本違約,乙方有權解除合同,由此造成的損失由甲方全部承擔。

        6.甲方保證租賃房屋的正常使用,修繕房屋及消防設施是甲方的義務。因甲方房屋質量及結構原因引起的漏水、滲水、開裂及管道等問題或出租房屋的內部設施設備發(fā)生妨礙安全、正常使用的損壞或故障時,乙方應及時通知甲方并采取有效措施;甲方應于接到乙方通知后15日內進行維修完畢;乙方無法通知甲方或甲方拒不維修的,乙方可代為維修。維修費用(包括乙方代為維修)由甲方承擔,甲方不主動承擔的,乙方可以在租金中直接扣除。上述問題造成乙方或第三方損失的,由甲方承擔賠償責任。

        因乙方使用不當或不合理使用,出租房屋及其內的設施出現(xiàn)損壞或發(fā)生故障,乙方應負責及時維修或賠償。

        7.如系第三方原因導致乙方使用的出租房屋的采光、通道及消防設備損失,甲方應積極配合解決。

        8.租賃合同備案條款:

        第十四條、乙方的權利和義務

        1.租賃期間,乙方必須嚴格遵守國家法律、法規(guī)及物業(yè)管理的相關規(guī)定,不做有損甲方利益的事情。

        2.本合同有效期內,乙方可在不影響房屋結構安全的情況下,根據(jù)自身需要對房屋進行相關改造裝修。

        3.乙方在租賃期間內自行轉租該房屋。

        4.乙方在房屋裝修及經營期間所涉及到的裝修垃圾、污水、油煙等污染物,須由乙方妥善解決,保證房屋的干凈整潔及相鄰公共區(qū)域的干凈整潔。

        5.合同終止時,乙方應按時騰空交回房屋,同時結清應當由乙方承擔的各項費用。

        6.本合同有效期內,甲方需轉讓出租房屋的部分或全部的,應提前書面通知乙方。乙方在同等條件下有優(yōu)先購買權。出租房屋轉讓他人的,甲方應保證受讓人繼續(xù)履行本合同。

        第四章違約責任

        第十五條發(fā)生不可抗力或意外事件致使本合同無法履行的,合同自動終止。

        租金按照實際使用時間計算,不足整月的按天數(shù)計算,多退少補。

        第十六條乙方無正當理由延遲交付租金1個月以上,甲方有權單方解除本合同,拖欠租金按中國人民銀行同期存款利率收取違約金。

        第十七條有下列情形之一,乙方有權解除本合同,由此造成乙方損失的,甲方應向乙方賠償:

        (一)甲方延遲交付出租房屋1

        (二)甲方違反本合同的約定,使乙方無法繼續(xù)使用出租房屋的;

        乙方因上述理由解除合同的,應當及時書面通知甲方,及時遷離出租房屋,甲方應退還多收的預交款項,并需賠償乙方的損失。

        第十八條租賃期間,甲方非因第十六條的原因提前收回房屋解除合同的,甲方需退還乙方剩余租期的租金,并賠償乙方裝修費用,尋找新辦公或營業(yè)場地的成本支出以及更換辦公或營業(yè)場地導致的營業(yè)損失等一切經濟損失。

        第十九條租賃期間,乙方非因第十七條的原因提前解除合同的,甲方無需退還已交租金且無需補償乙方裝修費用。

        第五章其他事項

        第二十條本合同有效期屆滿,乙方需繼續(xù)租用出租房屋的,應于有效期屆滿之日前1個月向甲方提出續(xù)租要求;甲方需將出租房屋繼續(xù)出租的,在同等條件下,乙方對出租房屋有優(yōu)先承租權。甲、乙雙方就續(xù)租達成協(xié)議的,應重新訂立合同。第二十一條本合同終止后,乙方應于終止后15日內遷離出租房屋并將其返還甲方。

        第二十二條如出現(xiàn)本合同約定的單方可解除本合同的情形時,有解除權的一方的書面通知到達對方時本合同即告解除。第二十三條甲、乙雙方就本合同簽訂及履行過程中如發(fā)生爭議,應通過協(xié)商解決;協(xié)商解決不成的,可提請房屋所在地人民法院起訴。

        第二十四條本合同一式21具有同等法律效力。本合同自簽字蓋章之日起生效。

        第三條租賃期限

        3.乙方有下列情形之一的,甲方可以終止合同、收回辦公室:

        if any of the situations mentioned below occurs, party a has the right to terminate the agreement and take the office back.

        (1)乙方擅自將所租賃辦公室轉租、轉讓或轉借的;

        party b rents, or sells or lends the office to third party without party a’s permission.

        (2)乙方利用承租辦公室進行非法活動,損害公共利益的;

        party b uses the renting office for illegal activities and harms the public benefits.

        第五條租金、物業(yè)管理費、電費以及交納期限

        第六條辦公室的裝修及使用

        1.乙方如對辦公室進行裝修時,不得擅自改變辦公室結構和原有風格,并在裝修前向甲方提交辦公室裝修方案(內容包括:設計圖、所使用的裝修材料、裝修中使用的設備等),在獲得甲方的書面同意后,裝修方可進行,但甲方不得無理拒絕簽發(fā)同意書。

        party b shall not change the structure and original style of the office during decoration without party a’s written consent. party b is required prior decoration to render to party a a statement detailing the office decoration scheme, including design drawing, decoration materials, list of equipment to be used and so on. only with written consent from party a, which shall not be unduly withheld, can the decoration be carried out.

        2.乙方如對辦公室進行裝修時,不得擅自改變辦公室內的電源、通訊等線路和空調、噴淋等各種管路的原有走向,如確因使用電腦或其它辦公設備而需增加電源插座時,應在裝修方案中列明,獲允許后方可施工,施工完畢后由甲方查驗。如有損壞,除負責修復外,還應對造成的后果承擔全部責任。

        party b shall not change the power supply and communication lines, pipelines for airconditioner and sprinkler without permission of party a during decoration. however, if some additional power outlets for computers and other office equipment will really be installed, they should be listed in the office decoration scheme, and only with party a’s permission can the decoration be carried out, which must be checked by party a after the completion of the decoration. if any damage occurs to those facilities, party b should repair the facilities at its own cost and be responsible for any consequence of these damages.

        3.鑒于辦公室和地坪承載負荷限制,乙方如對辦公室進行裝修時,不得使用花崗石、大理石等重質材料作為地面裝飾。

        considering the bearing capacity of the floor, party b shall not use any heavy materials, such as granite and marble, to decorate the floor.

        4.為保持整個貨運站建筑和裝飾的統(tǒng)一性,乙方在進行辦公室裝修時,不得擅自變換辦公室原有的門、窗及其外部顏色。

        in order to keep the unity of the architecture and decoration of the whole cargo terminal, party b shall not change the doors, windows and their exterior color without permission from party a during decoration.

        5.鑒于甲方已為乙方提供了空調設備,乙方在進行辦公室裝修時或辦公室使用過程中,不得再安裝任何形式的空調設備或取暖裝置。乙方同意,在辦公室租用期間,不使用單體耗電量超過300瓦的電氣設備,每個接電插座用電容量不超過10安培,以確保貨運站的用電安全。

        since party a has provided aircondition equipments to party b, party b shall not install any other airconditioner or heating device when decoration or in duration of the office leased. to ensure the electrical safety of the cargo terminal, party b agrees not to use electric appliances with power consumption surpassing 300w in single, and capacity of each electricity outlet is no larger than 10 a.

        6.乙方同意不論何種原因致使乙方中止本合同,乙方在遷離貨運站時,不得對原屬于甲方所有的'固定設備或裝置造成損壞,并負責將所租用辦公室恢復至租賃前原樣,但辦公室的正常損耗除外。

        party b agrees that, when party b terminates the agreement, no matter whatever reason will be, party b shall not damage the fixed facilities or equipment owned by party a and be liable to restore the office leased to its original shape and state, normal wear and tear accepted, when withdrawing from the cargo terminal.

        第七條違約責任

        article 7: responsibility of agreement violation

        1.甲方未按前述合同條款的規(guī)定和按時向乙方交付合乎要求的辦公室或有其他違約事項的,負責賠償違約金為租賃期全部租金的10%。

        party a shall pay 10%(ten percent) of the annual total rent as compensation to party b in the event party a fails to hand over the lease office to party b at due time specified in articles hereof or has other performance that violates the agreement.

        2.承租方逾期交付租金或有其他違約事項的,應支付違約金為租賃期全部租金的10%。

        第八條免責條件

        第九條爭議的解決方式

        article 9: settlement of dispute

        本合同在履行中如發(fā)生爭議,雙方應協(xié)商解決;協(xié)商不成時,任何一方均可依據(jù)中華人民共和國仲裁法向上海市仲裁委員會提請仲裁。仲裁結果將為最終結果,對雙方均有約束力。

        any dispute occurring in the term of this agreement should be settled through negotiation. if it cannot be settled after negotiation, either party can, in compliance with the arbitration law of prc, apply for arbitration in shanghai arbitration committee. the arbitration award shall be final and binding on both parties.

        第十條 本合同未盡事宜,一律按《中華人民共和國合同法》的有關規(guī)定,經合同雙方共同協(xié)商,作出補充規(guī)定,補充規(guī)定與本合同具有同等效力。

        article 10: any matters not stipulated in this agreement shall be settled in the addendum after mutual negotiation between party a and party b as per the relevant regulations in the “contract law of prc”. the addendum and the agreement shall be equally authentic.

        第十一條 本合同正本采用中英文兩種文字混合,一式2份,出租方、承租方各執(zhí)1份,兩種文字具有同等法律效力。兩種文字如有不符,以中文文本為準,經雙方簽字后正式生效。
